Terms of Service

1. Agreement to Terms
By accessing or using the MemberRun platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
MemberRun provides a membership management platform for professional associations, including member directory management, event management, learning management, CPD tracking, billing, email campaigns, community features, and analytics. The specific features available to you depend on your subscription tier.
3. Account Registration
- You must provide accurate and complete registration information
- You are responsible for maintaining the security of your account credentials
- You must notify us immediately of any unauthorized access to your account
- You are responsible for all activity that occurs under your account
4. Subscription and Billing
- Subscriptions are billed in advance on a monthly, annual, or biennial basis
- All fees are non-refundable except as expressly stated in these Terms or required by law
- We may change pricing with 30 days' written notice; price changes apply at your next renewal
- If payment fails, we will attempt to charge your payment method for up to 14 days before suspending access
- You can cancel your subscription at any time; access continues until the end of your current billing period
5. Your Data
- You retain all ownership rights to data you input into MemberRun
- You grant us a limited license to host, process, and display your data solely to provide the Service
- You can export all your data at any time through the platform's export tools
- Upon cancellation, you have 90 days to export your data before it is permanently deleted
- We will not access your data except as necessary to provide the Service, respond to support requests, or comply with law
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Upload content that infringes intellectual property rights
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to send unsolicited commercial communications (spam)
- Resell, sublicense, or redistribute the Service without our written consent
7. Service Availability
We strive to maintain 99.9% uptime for Professional and Enterprise tier customers. However, the Service may be temporarily unavailable due to scheduled maintenance (with advance notice), emergency maintenance, or circumstances beyond our reasonable control. We are not liable for any losses resulting from Service unavailability.
8. Intellectual Property
The MemberRun platform, including its code, design, documentation, and branding, is owned by MemberRun and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service during your subscription.
9. Limitation of Liability
To the maximum extent permitted by law, MemberRun's total liability for any claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Indemnification
You agree to indemnify and hold harmless MemberRun from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
- You may terminate your subscription at any time through your account settings
- We may suspend or terminate your access if you violate these Terms
- Upon termination, your right to use the Service ceases immediately, but you retain the right to export your data for 90 days
12. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Alberta, Canada.
